Eight seats. One lifetime. A club that passes down.

“LUX Snow” refers to Lux Backcountry Guides Inc. and any successor entity operating the LUX Snow brand.

“Founders Club” refers to the membership program described in this document.

“Founder” or “Passholder” refers to the original individual who purchased a Founders Club membership, or a Successor Member as defined in Section 7.

“Annual Trip” refers to the one LUX Snow retreat the Passholder is entitled to book each calendar year under this membership.

“Founders Party” refers to the annual gathering described in Section 10.

“Successor Member” refers to the female family member who may receive the membership upon the original Founder’s death, per Section 7.

Founders Club membership entitles the Passholder to:

One (1) LUX Snow retreat trip per calendar year, for the lifetime of the Passholder, at any current LUX Snow retreat destination, subject to availability and the booking terms below.

A 20% discount for one (1) friend or companion joining the Passholder on their Annual Trip, once per calendar year, subject to availability.

Lifetime access to the LUX Snow online platform, including workout content, meditations, recipes, and the Founders Club online community.

Access to the annual Founders Party, for the Passholder plus one (1) guest.

Discounts with LUX Snow’s outdoor gear and industry partners.

LUX Snow will issue no more than eight (8) Founders Club memberships in total. Once this number is reached, no further Founders Club memberships will be sold, regardless of demand. This cap is a core part of the membership’s value and will not be increased once sales close. That decision is definite.

Before the investment is final, each potential member will participate in the interview process, ensuring they are the right fit for the brand.

Founders Club membership is offered at a one-time price of $80,000 USD per Founder, payable in full prior to activation. The membership carries no cash value, cannot be exchanged for a refund, and cannot be resold or transferred by the Passholder except as specifically permitted in Section 7.

Passholders receive priority access to book their Annual Trip 30 days before public booking opens for each season.

Once the Passholder notifies LUX Snow of their intent to book for the year, they have 45 days to confirm their specific destination and dates. This locks in a guaranteed seat while giving LUX Snow the planning predictability needed to manage capacity across all retreats. If the Passholder does not confirm within this 45-day window, that year’s trip is forfeited and does not roll over to the following year.

The companion discount (Section 2) applies to one guest joining the Passholder’s own Annual Trip and is subject to the same availability and booking window.

Booking remains subject to the same blackout dates, minimum group sizes, and seasonal calendar that applies to all LUX Snow retreats.

If a specific retreat or date is fully booked by the time the Passholder requests it, LUX Snow will offer the next available date or an alternate destination for that year.

The Annual Trip covers the same inclusions as a standard retreat booking for whichever trip the Passholder selects (accommodation, guiding, meals, and activities as listed on that trip’s current itinerary). It does not cover flights, travel insurance, personal gear, alcohol, or any other item not included in a standard paying guest’s package for that same trip. The companion joining at 20% off is responsible for the remaining 80% of the standard trip price plus all of the same exclusions.

Founders Club membership is personal to the Founder for her lifetime, but may continue within her family indefinitely under the following conditions:

Eligible successors: Any woman related to the current Passholder by blood, including but not limited to daughters, sisters, mothers, granddaughters, nieces, and cousins. The membership may never be transferred to a friend or any non-family member.

Advance designation required: The current Passholder must name her successor in writing, on file with LUX Snow, during her lifetime. This designation may be updated by the Passholder at any time, and LUX Snow recommends reviewing it periodically (for example, every few years) to keep it current.

Indefinite succession: Once a Successor Member receives the membership, she may in turn name her own successor under these same terms, and so on, without limit.

No designated successor means the membership ends, in full. If a Passholder dies without a valid, on-file written designation, the Founders Club membership and all associated benefits are permanently forfeited. No exceptions, and the membership cannot be revived or claimed by any family member afterward.

Each Successor Member accepts the Terms & Conditions in force at the time of transfer, which may differ from the terms in effect when the original Founder purchased the membership.

LUX Snow reserves the right to adjust itineraries, accommodations, guides, or destinations for any given trip due to safety, weather, or operational necessity, consistent with how such changes are handled for all LUX Snow guests.

In the event LUX Snow is sold, merges with another company, or transfers ownership, the obligations of this membership, including the generational transfer right in Section 7, will transfer to the successor entity or be handled as agreed in connection with the transaction.

In the event LUX Snow ceases operations entirely, Founders will be provided with written notice and will be offered a resolution to be defined with legal counsel (which may include a prorated refund, store credit, or other resolution).

The Annual Founders Party · An intimate three-day program with a gala night capped at 50 guests, invite-only. Starting in winter 2027 (November), LUX Snow will host an annual, invite-only gathering. Founders Club members will receive an invite, and each Founder may bring one (1) guest. It is a weekend in the mountains that includes one day of skiing, one day of spa, and a gala dinner with film screenings of all the films we supported that year. In the morning meeting, we discuss LUX’s growth and future plans, the exciting things we have planned for the upcoming year, and the impact we are making on the community.

Product launches · first look.

Partner gear discounts · Founders receive negotiated discounts from LUX Snow’s outdoor gear and apparel partners. This is something we are hoping to grow each year.

The online platform · Lifetime access to LUX Snow’s online content library, including workouts, meditations, recipes, and the members-only Founders Club community space. Coming fall 2027.

Recognition as a Founding Member of LUX Snow, including a dedicated page or section on the LUX Snow website (with the Founder’s consent).

An opportunity to be part of something bigger, supporting women-centric ski, snowboard, climb, and surf films.

A welcome package on joining (branded gear, a personal welcome letter, a piece of apparel not available to the public).

A milestone gift at a meaningful anniversary (5 years, 10 years) as a Founder.

To the maximum extent permitted by law, LUX Snow’s liability to the Founder under this agreement is limited to the amount paid for the membership. LUX Snow is not liable for indirect, incidental, or consequential damages arising from participation in any Annual Trip or Founders Party, consistent with the waivers and releases signed by all LUX Snow guests.

The Founder (and any Successor Member or companion) agrees to indemnify and hold LUX Snow harmless from claims arising from their own actions during any Annual Trip or Founders Party, consistent with standard guest waivers used across all LUX Snow retreats.

LUX Snow is not responsible for failure to deliver an Annual Trip or Founders Party due to circumstances beyond its reasonable control, including but not limited to extreme weather, natural disasters, government travel restrictions, pandemics, or armed conflict. In such cases, the affected year’s trip will be rescheduled rather than forfeited by the Founder.

This agreement is governed by the laws of the jurisdiction in which LUX Snow is incorporated. Any disputes arising from this agreement will be resolved through mediation, arbitration, or the courts as determined with legal counsel.

This document, together with the separate benefits sheet referenced in Section 10, constitutes the entire agreement between LUX Snow and the Founder regarding Founders Club membership. If any provision of this agreement is found unenforceable, the remaining provisions continue in full force. LUX Snow may update the benefits sheet from time to time but will not reduce the core Annual Trip entitlement described in Section 2 without the Founder’s consent.

Any formal notices between LUX Snow and the Founder (or Successor Member) will be sent to the contact information on file at the time of purchase or transfer, updated as needed by written request.

By purchasing Founders Club membership, the Founder acknowledges they have read, understood, and agreed to these Terms & Conditions in full.
